Ryan represents lower-middle market companies engaged in mergers and acquisitions and general corporate matters, while performing tax planning and offering comprehensive guidance for closely held businesses. Ryan has experience drafting, reviewing, and negotiating transaction documents in mergers and acquisitions in closely held companies, including asset and equity purchase agreements, disclosure schedules, and representation and warranty insurance policies.
Ryan’s experience also includes planning with the closely held business. This includes preparing, drafting and review governance and succession-planning documents that plan for closely held businesses’ succession. Included in this scope of experience are buy-sell agreements, stock restriction agreements, shareholder agreements, phantom stock arrangements, and operating agreements for family and insurance LLCs, as well as supporting tax-free reorganizations. In addition to seeing the life of a corporation—from birth, in-life planning, to ultimate sale or succession, Ryan regularly supports clients’ day-to-day corporate needs by maintaining corporate records and planning for the areas of corporate governance.
Ryan also focuses his practice on corporate tax planning and strategic tax diligence for privately held businesses. Drawing on his experience in the transactions group of a prominent Cleveland CPA firm, he conducts comprehensive, risk-focused reviews of a company’s tax history and compliance to identify hidden liabilities, assess exposure, and help optimize deal structures. He advises privately owned companies on structuring their finances to minimize tax liabilities, aligning entity and transaction structures with business goals and cash flow, and navigating complex federal, state, and local tax compliance and audits with practical, business-oriented solutions.
A Northeast Ohio native, Ryan simultaneously completed his J.D., MBA and MAcc from Cleveland State University in 2022. Additionally, Ryan earned his LLM from the University of Baltimore in 2025.
Ryan and his wife live in Lakewood with their marmalade cat. Ryan was born and raised in the Cleveland area and attended to St. Edward High School. When outside of the office, Ryan can be found with friends: whether playing a round of golf, catching a plane to visit, or checking out Cleveland’s local cuisine, friends and family are the center of his life. Often, when not spending time with friends (or reading the tax code), you can find him with a nose in a book, reading.
