Cleveland & Naples – Experienced Corporate Paralegal

We are seeking an experienced corporate paralegal to join our growing Business Practice Area.  The ideal candidate will have a minimum of 5 years of corporate paralegal experience with a law firm.  This is an excellent opportunity to join a collegial environment where the paralegals are treated as equal members of the professional team, provided administrative assistance, and are supported in their professional development and growth.

Responsibilities

  • Assist with all stages of corporate formations/organizations, the preparation for and closing of various corporate transactions, including mergers and acquisitions and real estate transactions
  • Maintain corporate records, obtain necessary corporate documents, and draft, review, and file deeds for real estate transactions
  • Handle all aspects of corporate governance filings for corporations/entities, including preparing tax filings
  • Maintain corporate records, obtain necessary corporate documents, and draft, review, and file deeds for real estate transactions
  • Initiating and managing all aspects of the dissolution of for-profit and non-profit corporations
  • Various other non-billable tasks

Qualifications and Experience

  • A minimum of 4 years of relevant corporate experience (general corporate transactions, real estate, mergers and acquisitions, tax, etc.)  is strongly preferred
  • At least 5 years of paralegal experience in a law firm and a comprehensive knowledge of corporate transactions specific procedures and terminology
  • Experience with closing large-scale, complex transactions
  • Paralegal Certificate or Associate Degree required; Bachelor’s Degree preferred
  • Excellent communication skills, analytical and organizational abilities, and a proactive nature to manage multiple priorities and deadlines
  • Ability to work with attorneys, paralegals, and staff across firm’s offices
  • Knowledge of timekeeping for billable and non-billable work
