Hahn Loeser acted as co-counsel to the Sisters of Charity Health System in a series of transactions with University Hospitals involving three hospitals, two in Cleveland and one in Canton. Before the transaction, the two organizations were 50/50 members in entities that owned all three hospitals. After the closing, the Health System is the sole member of the entities that own St. Vincent Charity Hospital in Cleveland, and Mercy Medical Center in Canton. The third hospital, St. John Medical Center, will continue to be owned by an entity whose members are the Sisters of Charity Health System and University Hospital The transactions, involving six law firms, four in-house offices of counsel, multiple mini-closings, transfers of a significant number of assets and restructuring of two series of tax exempt bonds, involved Hahn Loeser attorneys knowledgeable in the areas of tax and employee benefits, real estate, labor and employment, charitable trusts, intellectual property, and overall health care.
